Terms of Service
In short: SakhaSync is a technology platform that shows your Tally books online. You own your data and are responsible for it. Reports and AI answers are aids, not professional advice: check them before you rely on them. Our liability is limited as set out below. The full terms below are what apply.
1. Agreement
1.1 These Terms of Service ("Terms") form a binding agreement between Intellivane Technologies ("Intellivane", "we", "us") and the business entity on whose behalf an account is opened ("Customer", "you") for the use of SakhaSync, including the website, the web portal, the administration panel, the desktop connector ("Agent"), application programming interfaces and related services (together, the "Service").
1.2 By creating an account, accepting an invitation, ticking an acceptance box, installing the Agent or otherwise using the Service, you accept these Terms and our Privacy Policy. Each individual who uses the Service on the Customer's behalf ("User") represents that they are at least 18 years of age and are authorised to bind the Customer. If you do not accept these Terms, you must not use the Service.
1.3 These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require any physical or digital signature.
2. Nature of the Service: a platform only
2.1 The Service is a technology platform that reads accounting data from the Customer's own installation of TallyPrime (or other supported software) through the Agent, stores a copy on cloud infrastructure, and presents it as reports, alerts, summaries and automated answers. Intellivane acts solely as a provider of technology. Intellivane does not create, verify, audit, approve or certify any accounting entry, and does not maintain the Customer's books of account.
2.2 No professional advice. Nothing in the Service, including any report, profit and loss account, balance sheet, cash-flow projection, GST or TDS summary, margin estimate, alert or answer generated by "Ask SakhaSync" or any other automated or artificial-intelligence feature ("Outputs"), constitutes accounting, tax, audit, legal, financial or investment advice, or a statutory return or filing. Outputs are derived automatically from the data supplied by the Customer, may use estimates and assumptions stated in the Service, and may be incomplete, delayed or inaccurate. The Customer shall independently verify all Outputs against its books of account and obtain advice from qualified professionals before relying on them for any decision, filing, payment or representation to any third party.
2.3 The Customer's original books of account remain the sole authoritative record. The Agent operates in read-only mode and does not alter data in the Customer's accounting software.
2.4 "Tally" and "TallyPrime" are trademarks of Tally Solutions Pvt. Ltd. The Service is an independent product, not affiliated with, endorsed or sponsored by Tally Solutions. The Customer is solely responsible for holding valid licences for any third-party software it uses.
3. Customer data and responsibility
3.1 "Customer Data" means all data uploaded by the Agent or otherwise submitted to the Service by or for the Customer, including ledgers, vouchers, party details, inventory, and any personal data of the Customer's customers, suppliers, employees or other individuals contained therein.
3.2 As between the parties, the Customer owns and retains all rights in Customer Data and is solely responsible for: (a) its accuracy, completeness, quality, legality and integrity; (b) having all rights, licences, notices and consents required to collect it and to have it processed through the Service; (c) compliance with all applicable laws in relation to it, including the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Information Technology Act, 2000, the Goods and Services Tax laws and the Income-tax Act, 1961; and (d) maintaining its own back-up copies.
3.3 For personal data contained in Customer Data, the Customer is the Data Fiduciary and Intellivane acts only as a Data Processor on the Customer's behalf and on its documented instructions, which are these Terms and the Customer's configuration of the Service. Requests from individuals concerning such personal data shall be directed to, and are the responsibility of, the Customer; Intellivane will provide reasonable assistance as required by law.
3.4 The Customer grants Intellivane a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Customer Data solely to provide, secure, support and improve the Service and as required by law. Intellivane may use aggregated, de-identified information that does not identify the Customer or any individual for analytics and improvement of the Service.
3.5 Retention and deletion of Customer Data are controlled by the Customer through the Service's settings. Deletions are irreversible once completed; residual copies in back-ups are removed in the ordinary course of back-up rotation. Intellivane is not liable for any loss arising from deletion instructed by the Customer or its Users.
4. Accounts, users and access
4.1 The Customer is responsible for all activity under its accounts, for the Users it invites or appoints (including administrators, company administrators and viewers), for keeping credentials and connector keys confidential, and for promptly revoking access that is no longer required.
4.2 Partner access. Where the Customer grants access to a chartered accountant, consultant or other firm ("Partner") through the Service, it does so at its own discretion and risk. The Partner acts for the Customer and not for Intellivane, and Intellivane has no responsibility for the Partner's acts or omissions. The Customer may withdraw Partner access at any time.
4.3 Communications sent by the Customer. Payment reminders, statements and other messages sent to third parties through or with the help of the Service (including by email or WhatsApp) are the Customer's own communications. The Customer is solely responsible for their content, recipients and lawful basis, including any applicable rules on commercial communications and debt recovery.
4.4 The Customer is responsible for the computer on which the Agent runs, its operating system, security, internet connectivity and power, and for keeping the accounting software open with the relevant companies loaded where synchronisation is required.
5. Acceptable use
The Customer shall not, and shall ensure its Users do not: (a) use the Service for any unlawful purpose or to store or transmit unlawful, infringing or fraudulent data; (b) attempt to access data of any other customer, probe, scan or test the vulnerability of the Service, or circumvent any security or usage limit; (c) reverse engineer, decompile or copy the Service except as permitted by law; (d) resell, sublicense or provide the Service to third parties except as expressly permitted; (e) interfere with the integrity or performance of the Service; or (f) use Outputs to mislead any authority, lender, investor or other person.
6. Third-party services
The Service relies on third-party providers, including cloud hosting (Microsoft Azure), email delivery, artificial-intelligence model providers and, where enabled, messaging or government-facing service providers. Their services are provided under their own terms. Intellivane is not responsible for any failure, delay, change or act of such third parties, or of any network, government portal or software not operated by Intellivane.
7. Availability and changes
7.1 Intellivane will use commercially reasonable efforts to keep the Service available but does not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, upgrades, incidents or events beyond our reasonable control. Data shown may lag the accounting software. No service-level commitment applies unless agreed in a separate signed order form.
7.2 Intellivane may modify, add or withdraw features of the Service, and may update the Agent automatically, provided that core functionality paid for is not materially reduced during a paid subscription term without notice.
8. Fees, suspension and termination
8.1 Fees, plans and payment terms are as stated in the applicable order form, invoice or online plan. Fees are exclusive of taxes, which the Customer shall pay. Fees paid are non-refundable except as required by law or expressly stated.
8.2 Intellivane may suspend access to the Service, with or without notice, for non-payment, for breach of these Terms, to prevent harm or a security risk, or where required by law. Suspension does not relieve the Customer of its payment obligations.
8.3 Either party may terminate in accordance with the applicable plan. On termination, the Customer's right to use the Service ends. The Customer may request deletion of Customer Data at any time; otherwise Intellivane may delete Customer Data after 30 days following termination, without liability.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT OR THAT THE SERVICE WILL BE SECURE OR FREE OF ERRORS OR HARMFUL COMPONENTS.
10. Limitation of liability
10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTELLIVANE, ITS PROPRIETORS, PARTNERS, DIRECTORS, EMPLOYEES AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR FOR ANY TAX, INTEREST, PENALTY, LATE FEE OR DEMAND RAISED BY ANY AUTHORITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR ANY OUTPUT, HOWEVER CAUSED AND WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF ADVISED OF THEIR POSSIBILITY.
10.2 INTELLIVANE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES ACTUALLY PAID BY THE CUSTOMER FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 5,000 WHERE NO FEES WERE PAID.
10.3 Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Indemnity
The Customer shall defend, indemnify and hold harmless Intellivane and its proprietors, partners, directors, employees and suppliers from and against all claims, demands, proceedings, losses, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) Customer Data, including any claim that its collection or processing violates any law or right of any person; (b) the Customer's or its Users' or Partners' use of the Service or any Output; (c) communications sent by the Customer to third parties; or (d) any breach of these Terms or applicable law by the Customer or its Users.
12. Confidentiality and security
Each party shall protect the other's confidential information with reasonable care and use it only for the purposes of these Terms. Intellivane maintains reasonable security practices and procedures, including encryption in transit, tenant isolation and access controls. No method of transmission or storage is completely secure, and Intellivane does not warrant that Customer Data will never be accessed without authorisation. The Customer shall notify Intellivane promptly of any suspected unauthorised use of its accounts.
13. Intellectual property
All rights, title and interest in the Service, the Agent, the SakhaSync name and logo, and all related software, designs and documentation are and remain the property of Intellivane or its licensors. Subject to these Terms and payment of applicable fees, Intellivane grants the Customer a limited, non-exclusive, non-transferable, revocable right to use the Service for its internal business purposes. Feedback provided by the Customer may be used by Intellivane without restriction or compensation.
14. Changes to these Terms
Intellivane may amend these Terms by publishing a revised version on this page with a new effective date. Material changes will be notified by email or within the Service. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Governing law and disputes
15.1 These Terms are governed by the laws of India.
15.2 Any dispute arising out of or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for thirty (30) days. Failing resolution, it shall be referred to and finally resolved by arbitration by a sole arbitrator appointed by Intellivane, in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be the city of Intellivane's registered office, and the language shall be English. Subject to the foregoing, the courts at that city shall have exclusive jurisdiction.
16. General
16.1 Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party infrastructure, natural events, epidemics, acts of government or failures of public networks. 16.2 Assignment: the Customer may not assign these Terms without Intellivane's prior written consent; Intellivane may assign them to an affiliate or successor. 16.3 Severability: if any provision is held invalid, the remainder continues in effect and the provision is enforced to the maximum extent permitted. 16.4 Entire agreement: these Terms, the Privacy Policy and any order form are the entire agreement on their subject and prevail over any purchase order terms. 16.5 No waiver: failure to enforce a provision is not a waiver. 16.6 Survival: sections 3, 8.3, 9, 10, 11, 13, 15 and 16 survive termination.
17. Contact and grievances
Notices and grievances concerning the Service may be sent to Intellivane Technologies using the contact details published at intellivane.com. We will acknowledge grievances and endeavour to resolve them within the time required by applicable law.
